These Terms of Use ("Terms") govern your access to and use of Songparts (the "Service"), a website for browsing, viewing, and playing MIDI files and related community resources, operated by Songparts LLC, a California limited liability company ("Songparts," "we," "us"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Who may use the Service
You must be at least 16 years old to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for it.
2. Your account
Some features require an account, which you create using your email address (we use passwordless sign-in links — see our Privacy Policy). You are responsible for the activity that happens under your account and for keeping access to your email secure. Tell us promptly at [email protected] if you believe your account has been compromised.
3. User-generated content
Substantially all content available on the Service — including uploaded MIDI files and associated metadata — is user-generated content ("User Content") submitted by users, not created or endorsed by us. We operate the Service as a neutral host. We do not pre-screen User Content; instead, we moderate it after the fact in response to reports and our own review (post-moderation).
You are solely responsible for any content you submit. By submitting User Content you represent and warrant that:
- you own it, or you have all rights and permissions necessary to submit it and to grant the license below; and
- it does not infringe any third party's copyright, trademark, privacy, publicity, or other rights, and does not violate any law.
You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (e.g. format conversion, rendering as piano roll or tab, generating previews), publish, and display your User Content for the purpose of operating, providing, and promoting the Service. For content you mark as private, this license is limited to what is needed to store and make it available to you. The license ends when the content is removed, except for backups retained for a reasonable period and copies others may have already downloaded.
4. Acceptable use
You agree not to use the Service to:
- upload, distribute, or link to content you do not have the right to share, or that infringes others' rights;
- upload malware, or files designed to disrupt, overload, or harm the Service or its users;
- scrape, harvest, or bulk-download the catalog, or circumvent rate limits, access controls, or the measures that keep file identifiers non-enumerable;
- reverse-engineer, interfere with, or attempt to gain unauthorized access to the Service or its infrastructure;
- misrepresent your identity or submit content that is unlawful, harassing, or fraudulent.
5. Intellectual property
The Service itself — its software, design, branding ("Songparts"), and the original text we author (such as guides and FAQs) — is owned by us or our licensors and protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or branding. Factual catalog information (such as a song's key, tempo, or tuning) is presented as plain reference data.
6. Copyright and the DMCA
We respect intellectual-property rights and respond to clear notices of alleged copyright infringement. Because the catalog is user-generated and post-moderated, the most effective way to have allegedly infringing material addressed is to tell us about the specific file. Please read and follow our DMCA / Copyright Policy, which explains how to submit a notice and how we handle it. We act on valid requests as soon as we reasonably can and we terminate the accounts of repeat infringers.
7. Third-party links and resources
The Service links to third-party tools, repositories, and communities (for example, our Awesome Lists directories). We do not control and are not responsible for third-party sites or content, and linking to them is not an endorsement.
8. Disclaimers
The Service and all content, including User Content, are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any content is accurate, lawful, or fit for your purposes. You use the Service and any content at your own risk.
9. Limitation of liability
To the fullest extent permitted by law, Songparts and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, goodwill, or profits, arising out of or relating to your use of (or inability to use) the Service or any User Content. To the extent we are found liable, our total liability for any claim relating to the Service is limited to USD $100. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
10. Indemnification
You agree to indemnify and hold harmless Songparts and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, or your violation of these Terms or any law or third-party right.
11. Termination
You may stop using the Service at any time. We may suspend or terminate your access, or remove content, at our discretion — including for violations of these Terms, repeat infringement, or to comply with law. Sections that by their nature should survive termination (such as content licenses already granted, disclaimers, limitation of liability, and indemnification) will continue to apply.
12. Changes
We may update the Service and these Terms from time to time. When we make material changes we will update the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You and Songparts LLC agree to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California (including the U.S. District Court for the Northern District of California) for any dispute that is not subject to binding arbitration or a small-claims exception under applicable law. If you are a consumer, this does not deprive you of any mandatory protections under the law of the country where you live.
